The bill (Reg. No.6134) submitted by
the Cabinet of Ministers introduces amendments to the Civil, Economic and
Criminal Codes, Laws "On Economic Entities", "On State Registration of Business
Entities and Individuals Persons-Entrepreneurs", "On Restoration of the Debtor
Solvency or Bankruptcy Recognition", "On Joint-Stock Company" and several other
legislative acts to prevent employment of methods of illegal merger and raider
activity.
As it was declared at the Committee sitting, the bill regulates basic aspects of fighting illegal merger and raider activity. Its principal tasks are regulation of establishment, authorities and activity of the liquidation committees and procedure of liquidation of a business entity; improvement of the procedure of rejecting state registration of the amendments to the articles of association of a legal entity; improvement of the procedure on the conduct of the state registration of sole proprietors; determination of the force majeure circumstances, etc.
The Committee members are convinced that the bill will facilitate the struggle with the raider activity, and prevent illegitimate merger of enterprises, which shall attract domestic and foreign investments.
