The Sponsor, People´s Deputy, Yu. Voropayev, suggests that the Bill (Reg.No.1158) makes it incumbent on State Registrars to check the reliability of information produced by persons towards registration of amendments to constituent documents, or replacement of a State Registration Certificate issued to a company, where the original copies of the said documents have been lost.
A new provision is proposed, according to which ‘the Registration Card and the Loss (Replacement) Statement shall bear, apart from the signature of a legal entity representative (executive body or its authorized person), the impression of the seal of the said legal entity (executive body or its authorized person)´.
The Bill proposes that an additional document is submitted towards replacement of the Certificate in the event of its loss, issued by the Internal Affairs body, within whose jurisdiction the legal entity is located, upon registration of a Statement of Loss of the original Certificate.
The constituent document shall be replaced within two working days of the publication of a notice on the loss of the original Certificate, or the submission of documents for its replacement, in the case of its damage.
N. Korolevska, Committee Chairman, noted the topicality of this Bill today, but however pointed out the need for several alterations and additions thereto. She said that ‘three-fifths of the proposed Amendments to the Law, whilst closing some loopholes to Raider schemes, are opening new ones´.
The People´s Deputies also drew attention to the absence of a Conclusion from the Central Scientific Experts' Office of the Administrative and Office Department of The Verkhovna Rada of Ukraine.
The Committee resolved to recommend that Parliament adopts the Bill at the first reading, subject to further additional elaboration thereof.
