In view of comprehensive refinement of legislative provisions pertaining to the activity of joint-stock companies, the bill (Reg. No. 2037) suggests amend the Law “On Joint Stock Companies” in the part of:
refinement of the mechanism for determination of the market value of securities;
introduction of the mechanism for notification of shareholders through the depositary system of Ukraine;
refinement of the procedure of transformation of the joint stock company, etc.
The bill suggests also amend the Economic and Civil Codes, as well as the laws “On State Regulation of Securities Market in Ukraine”, “On Securities and the Stock Market”, “On State Registration of Legal Entities and Sole Proprietors” and “On Audit Activity”.
Committee members believe that implementation of bill provisions will help refine activity of joint-stock companies and increase protection of rights of shareholders, which in its turn, will positively affect investment climate in Ukraine and yielding of additional revenues into Ukraine’s economy.
